1. Agreement to Terms

We reserve the right to modify, suspend, or discontinue any aspect of our services at any time without prior notice. We are not liable for any modification, suspension, or discontinuation of services.

3. User Responsibilities

You agree to:

• Provide accurate, current, and complete information when using our services
• Maintain the confidentiality of your account credentials and passwords
• Use our services in compliance with all applicable local, state, national, and international laws
• Not engage in any activity that disrupts, interferes with, or harms our services or systems
• Not use our services for any illegal, unauthorized, or prohibited purposes
• Not attempt to gain unauthorized access to any portion of our services or systems

4. Payment Terms

Payment terms will be specified in individual service agreements. Generally, payments are due within 30 days of invoice date unless otherwise agreed in writing. Late payments may incur interest charges at a rate of 1.5% per month or the maximum rate permitted by law, whichever is lower.

All fees are quoted in Canadian Dollars (CAD) unless otherwise specified. You are responsible for all applicable taxes, duties, and government charges.

5. Refund and Cancellation Policy

Refund and cancellation policies vary by service type and will be specified in your service agreement. Generally:

• Consulting services: Non-refundable once work has commenced
• Growth Partner Program: Subject to specific program terms and qualification criteria
• Digital products: Refundable within 14 days if no access or download has occurred
• Subscription services: Cancellable with 30 days notice; no refunds for partial periods

6. Intellectual Property Rights

All content, materials, trademarks, logos, and intellectual property on this website and created by Vancouver.Company remain our exclusive property unless explicitly transferred through a written agreement.

Client-specific deliverables and work products will be transferred to clients as outlined in individual service agreements. You may not reproduce, distribute, modify, or create derivative works from our proprietary content without express written permission.

7. Confidentiality

We maintain strict confidentiality of client information, business strategies, and proprietary data. We expect the same from our clients regarding our proprietary methods, processes, strategies, and business information. Both parties agree not to disclose confidential information to third parties without prior written consent.

8. Limitation of Liability

To the fullest extent permitted by law, Vancouver.Company and Ali Sedighi shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, revenue, data, or business opportunities, arising from:

• Your use or inability to use our services
• Any errors, mistakes, or inaccuracies in content
• Any interruption or cessation of services
• Any bugs, viruses, or harmful components transmitted through our services

Our total liability shall not exceed the amount paid by you for services in the 12 months preceding the claim.

9. Warranties and Disclaimers

We provide our services "as is" and "as available" without warranties of any kind, either express or implied. We do not warrant that:

• Our services will meet your specific requirements or expectations
• Our services will be uninterrupted, timely, secure, or error-free
• Results obtained from our services will be accurate, reliable, or guaranteed
• Any errors in our services will be corrected

10. Termination

Either party may terminate services with written notice as specified in the service agreement. We reserve the right to terminate or suspend access to our services immediately, without prior notice, for any breach of these terms. Clients remain responsible for payment of all services rendered up to the termination date, plus any applicable termination fees outlined in the service agreement.

11. Indemnification

You agree to indemnify, defend, and hold harmless Vancouver.Company, Ali Sedighi, and our affiliates, officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from your use of our services, violation of these terms, or infringement of any third-party rights.

12. Governing Law and Dispute Resolution

These terms shall be governed by and construed in accordance with the laws of British Columbia, Canada, without regard to its conflict of law provisions.

Any disputes arising from these terms or our services shall first be attempted to be resolved through good faith negotiation. If negotiation fails, disputes shall be resolved through binding arbitration in Vancouver, British Columbia, in accordance with the Arbitration Act of British Columbia.

13. Changes to Terms

We reserve the right to modify these terms at any time. Changes will be effective immediately upon posting to our website. We will make reasonable efforts to notify users of material changes. Continued use of our services after changes are posted constitutes acceptance of the modified terms.

14. Severability

If any provision of these terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary so that these terms shall otherwise remain in full force and effect.
